Welcome to LeadGenesys. These Terms & Conditions (“Terms”) govern your use of the services, data, and technology (“Services”) provided by LeadGenesys LLC (“LeadGenesys,” “we,” “our,” or “us”).

By accessing or using our Services, you (“Customer,” “you,” or “your”) agree to these Terms. If you are entering into this agreement on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Overview of Services

LeadGenesys provides a suite of prospecting and communications intelligence tools that may include one or more modules powered by partner technologies. Each module is available under the LeadGenesys name, and may include:

• Data Enrichment & Prospect Intelligence
• Conversation Analytics & AI Transcription
• Custom Integrations or Automation

LeadGenesys may enhance, enrich, or combine data from multiple sources before delivery to the Customer.

2. Account and Access

You are responsible for maintaining the security of your LeadGenesys account, API keys, and any login credentials. You agree to notify us promptly of any unauthorized access or breach. LeadGenesys may suspend or terminate access if it detects misuse, violation of these Terms, or activity that threatens system integrity or security.

3. Fees and Payment

• Customers are billed directly by LeadGenesys.

• Pricing may include one-time setup fees for certain modules and usage-based fees determined by credits consumed.
• When additional customization is requested, setup and modifications to the Prospecting or DemandGen agent will be approved by the customer.

• All fees are non-refundable except where required by law.
• Payment is due as stated on your invoice or subscription order. Late or failed payments may result in suspension of service.

4. Use of the Services

You agree to use the Services only for lawful business purposes. You may not:

• Scrape, copy, redistribute, resell, or otherwise republish any LeadGenesys data, analytics, or AI outputs;
• Use the Services to build or train competing products;
• Interfere with or circumvent any security or access controls;
• Use the Services in violation of any applicable laws, including data privacy or anti-spam laws (e.g., CAN-SPAM, GDPR, CCPA).

LeadGenesys reserves the right to monitor usage to ensure compliance.

5. Data Ownership and Usage Rights

• Customer Data: You retain ownership of your own customer or prospect data that you upload or provide to LeadGenesys.
• LeadGenesys Data & Outputs: LeadGenesys and its partners retain ownership of all underlying data sources, algorithms, and derivative works generated by the Services.
• Customers receive a non-exclusive, non-transferable license to use the outputs for internal business purposes only.
• Derived analytics, insights, or AI-generated materials remain the property of LeadGenesys unless expressly transferred in writing.

6. Data Privacy & Processing

LeadGenesys processes prospect and communication data (including call transcripts and recordings) on behalf of its customers in compliance with GDPR, CCPA, and other applicable data protection laws.

6.1 Data Processing

LeadGenesys acts as a data processor for Prospect Data and as a data controller for system-generated analytics. Processing activities include:

• Storing and analyzing prospect and communication data;
• Enriching or matching records with external business data sources;
• Using anonymized data for system improvement and benchmarking.

6.2 Compliance and Rights

Customers must ensure they have lawful grounds to share or process data through our Services.
Individuals may request access, correction, or deletion of their personal data as required under applicable law.

6.3 Sub-processors

LeadGenesys may use third-party vendors for data processing. All sub-processors are bound by confidentiality and data protection obligations equivalent to these Terms.

6.4 Security

We implement commercially reasonable security measures to protect data from unauthorized access or disclosure. No system is perfectly secure, and you acknowledge the inherent risk of internet-based data transfer.

7. Intellectual Property

All rights, titles, and interests in the Services, software, documentation, and content remain with LeadGenesys or its licensors. You are granted only the limited right to use the Services as expressly permitted under these Terms. You may not reverse-engineer, modify, or attempt to derive source code from the Services.

8. Third-Party Services and Integrations

The Services may include features or data sourced from third parties.
LeadGenesys does not control and is not responsible for the operation or content of these third-party services.
All third-party technology and data are provided “as is” and subject to their respective terms of service.

LeadGenesys disclaims all liability arising from the use or unavailability of third-party services.

9. Service Availability

LeadGenesys strives for reliable service but does not guarantee uninterrupted access, performance, or uptime.
You acknowledge that the Services may be unavailable due to maintenance, vendor issues, or other causes beyond our control.

10. Warranties and Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied.
LeadGenesys and its partners expressly disclaim all warranties, including but not limited to:

• Fitness for a particular purpose;

• Accuracy, reliability, or completeness of data;

• Non-infringement of third-party rights.

11. Limitation of Liability

To the maximum extent permitted by law: LeadGenesys’s total liability for all claims under these Terms shall not exceed the total fees paid by you in the six (6) months preceding the event giving rise to the claim. LeadGenesys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. LeadGenesys disclaims all liability for issues arising from downstream or partner services.

12. Confidentiality

Both parties agree to maintain the confidentiality of non-public business, technical, and customer information obtained through the relationship.
This obligation survives termination of the agreement.

13. Non-Compete and Non-Solicitation

You agree not to: Develop or offer a competing product using insights or outputs derived from LeadGenesys data; directly engage or solicit LeadGenesys employees, contractors, or partner vendors for competitive purposes during your subscription term and for one (1) year thereafter.

14. Compliance and Ethical Standards

LeadGenesys differentiates itself from competitors by emphasizing ethical data sourcing, privacy compliance, and transparent business practices.
You agree to use the Services in a manner consistent with these principles and with all applicable laws and industry regulations.

15. Term and Termination

Unless specified in a separate statement of work, either party may terminate this agreement for any reason with thirty (30) days’ written notice.
LeadGenesys may immediately suspend or terminate access if you breach these Terms or misuse the Services.
Upon termination, all rights and licenses granted under these Terms shall cease, and you must cease using all LeadGenesys data and outputs.

16. Dispute Resolution and Arbitration

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in San Francisco County, California, in English. Judgment on the award may be entered in any court of competent jurisdiction. You agree that class actions and jury trials are waived to the fullest extent permitted by law.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, excluding its conflict of laws principles.

18. Updates to These Terms

LeadGenesys may modify these Terms from time to time. Material changes will be communicated via email or posted notice. Continued use of the Services after such notice constitutes acceptance of the updated Terms.
